Terms of Service

1. Acceptance of Terms

By accessing or using EchoReview AI (the "Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. These Terms are entered into between you (or the entity you represent) and EchoReview AI ("we", "us").

2. Research-Preview Status

The Service is an investigational research and quality-improvement tool. It is not FDA-cleared and is not intended for clinical diagnosis, treatment, or patient-care decisions. Any AI-generated impression is preliminary and non-diagnostic. A licensed cardiologist must independently review every study before any clinical action is taken.

3. Eligibility & Accounts

The Service is intended for healthcare organizations, credentialed clinicians, sonographers, researchers, and administrative staff acting on their behalf. You must be at least 18 years old, provide accurate registration information, and keep your credentials confidential. You are responsible for all activity under your account.

4. Permitted Use of Data

You may only upload echocardiography data that is:

  • De-identified in accordance with the HIPAA Safe Harbor method (45 CFR §164.514(b)(2)); or
  • Covered by an executed Business Associate Agreement (BAA) and Data Use Agreement (DUA) with EchoReview AI.

Uploading protected health information (PHI) without a signed BAA is a material breach of these Terms.

5. Pilot Program

Pilot program participation is subject to a separate written agreement covering scope, IRB submission, data handling, publication rights, and success criteria. The pilot is a non-clinical quality-improvement study; AI output is not used for patient care during the pilot.

6. Acceptable Use

You will not: (a) attempt to re-identify de-identified data; (b) use the Service to make clinical decisions; (c) reverse engineer, decompile, or attempt to extract model weights; (d) resell or sublicense the Service; (e) upload malware or attempt to compromise infrastructure; or (f) use the Service in violation of applicable law, including HIPAA, HITECH, and state privacy laws.

7. Intellectual Property

The Service, including all software, models, documentation, and branding, is owned by EchoReview AI and its licensors. You retain ownership of data you upload. You grant us a limited, non-exclusive license to process your data solely to provide the Service and, when explicitly agreed, to improve model performance on de-identified inputs.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI OUTPUT IS ACCURATE, COMPLETE, OR SUITABLE FOR ANY CLINICAL PURPOSE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECHOREVIEW AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) FEES PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) US $100.

10. Indemnification

You agree to indemnify and hold EchoReview AI harmless from any claim arising out of your use of the Service, your data, or your breach of these Terms.

11. Termination

We may suspend or terminate access at any time for material breach, non-payment, or to comply with law. Upon termination, your right to use the Service ceases; sections that by their nature survive termination will remain in effect.

12. Changes

We may update these Terms. Material changes will be posted here with a revised "Last updated" date. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Exclusive jurisdiction and venue lie in the state and federal courts of Delaware.
